By accessing our website (velmorias.com), using our services, or engaging with our agency in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use our website or services.

2. Definitions

For purposes of these Terms:

• "Agency" refers to Velmorias
• "Model" refers to any individual represented by or seeking representation from our Agency
• "Client" refers to any individual or entity booking models or services through our Agency
• "Services" refers to model representation, booking services, portfolio development, and related offerings
• "Website" refers to velmorias.com and all associated pages
• "Content" refers to all text, images, videos, and materials on our Website
• "User" refers to anyone accessing or using our Website or Services

3. Eligibility and Registration

3.1 Age Requirements

To use our Services, you must be:

• At least 18 years of age and legally capable of entering binding contracts, OR
• Between 16-18 years of age with written parental or legal guardian consent
• Individuals under 16 may not use our Services without specific Agency approval and comprehensive parental consent

3.2 Account Registration

When creating an account or submitting information to our Agency, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access or security breaches
• Accept responsibility for all activities under your account

3.3 Representation Application

Submitting an application for model representation does not guarantee acceptance. We reserve the right to accept or reject any application at our sole discretion without providing reasons.

4. Services Provided

4.1 Model Representation Services

For represented models, our Agency provides:

• Professional career guidance and management
• Marketing and promotion to potential clients
• Booking coordination and scheduling
• Contract negotiation and administration
• Portfolio development assistance
• Industry networking opportunities
• Professional development and training

4.2 Client Booking Services

For clients booking models, we provide:

• Access to our model portfolio
• Casting and model selection assistance
• Booking coordination and logistics
• Contract preparation and management
• On-set coordination when requested
• Invoice processing and payment facilitation

4.3 Additional Services

We may offer additional services including but not limited to:

• Portfolio photography sessions
• Professional development workshops
• Social media strategy consultation
• Industry event organization

Additional services may be subject to separate agreements and fees.

5. Fees and Payments

5.1 Agency Commission

The Agency earns commission on bookings secured for represented models. Commission rates are specified in individual representation agreements and typically range from 15% to 20% of gross booking fees.

5.2 Client Fees

Clients booking models agree to:

• Pay all agreed-upon booking fees and expenses
• Comply with payment terms specified in booking contracts
• Pay any applicable taxes or duties
• Cover additional expenses such as travel, accommodation, or special requirements as agreed

5.3 Payment Terms

Unless otherwise specified:

• Payment is due within 30 days of invoice date
• Late payments may incur interest charges at 1.5% per month
• We accept payment via bank transfer, credit card, or other approved methods
• All fees are quoted in Hong Kong Dollars (HKD) unless otherwise stated

5.4 Upfront Fees Prohibition

IMPORTANT: Velmorias operates as a legitimate modeling agency. We do NOT charge upfront fees for:

• Reviewing applications or portfolios
• Registration or membership
• Representation consideration
• Listing in our model database

We earn commission only from successfully completed bookings. Any request for upfront payment not covered by this agreement should be reported immediately.

6. Intellectual Property Rights

6.1 Agency Content

All content on our Website, including but not limited to text, graphics, logos, images, videos, and software, is the property of Velmorias or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, reproduce, or distribute our Content without written permission
• Modify, create derivative works, or reverse engineer our Website
• Remove or alter copyright notices or proprietary markings
• Use our Content for commercial purposes without authorization

6.2 Model Portfolio Content

Models grant the Agency a limited, non-exclusive license to:

• Display portfolio images on our Website and marketing materials
• Promote models to potential clients
• Use images in agency presentations and industry events
• Create composite cards and promotional materials

This license continues for the duration of representation and may extend for reasonable promotional periods thereafter unless explicitly revoked in writing.

6.3 Client Usage Rights

Clients booking models receive usage rights as specified in individual booking contracts. Unauthorized use beyond agreed terms constitutes breach of contract and may result in additional fees and legal action.

7. User Conduct and Prohibited Activities

Users of our Website and Services agree not to:

7.1 Illegal Activities

• Violate any local, national, or international laws or regulations
• Engage in fraudulent activities or misrepresentation
• Infringe upon intellectual property rights
• Harass, threaten, or harm others

7.2 Website Misuse

• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt Website functionality
• Introduce viruses, malware, or harmful code
• Scrape, data mine, or systematically collect information
• Impersonate the Agency, staff members, or other users

7.3 Content Violations

• Post or transmit inappropriate, offensive, or illegal content
• Submit false or misleading information
• Violate the privacy or publicity rights of others
• Engage in spam or unsolicited communications

7.4 Professional Conduct

Models and clients agree to:

• Maintain professional behavior at all bookings and events
• Arrive punctually and prepared for assignments
• Comply with reasonable direction and instructions
• Treat all parties with respect and courtesy
• Refrain from conduct that damages the Agency's reputation

8. Booking Policies and Procedures

8.1 Booking Requests

All booking requests must include:

• Detailed project description and requirements
• Date, time, and location information
• Expected duration and schedule
• Compensation and payment terms
• Usage rights and media specifications
• Client contact information

8.2 Booking Confirmations

Bookings are confirmed only when:

• All parties have agreed to terms in writing
• Required documentation is completed and signed
• Deposits or advance payments (if required) are received
• Models confirm availability and acceptance

8.3 Cancellation Policy

Client Cancellations:

• Cancellations more than 14 days before booking: No penalty
• Cancellations 7-14 days before booking: 50% of booking fee
• Cancellations less than 7 days before booking: 100% of booking fee
• Same-day cancellations or no-shows: 100% of booking fee plus additional damages

Model Cancellations:

Models may cancel due to illness or emergency with prompt notification. Repeated cancellations without valid reasons may result in termination of representation.

8.4 Modifications to Bookings

Changes to confirmed bookings require agreement from all parties and may incur additional fees or penalties.

9. Liability and Disclaimers

9.1 Service Disclaimer

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for particular purpose
• Guarantees of booking success or income levels
• Uninterrupted or error-free service operation
• Accuracy or reliability of content or information

9.2 Limitation of Liability

To the maximum extent permitted by law, Velmorias shall not be liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding fees paid to the Agency in the preceding 12 months
• Issues arising from third-party actions or services
• Events beyond our reasonable control (force majeure)

9.3 Indemnification

You agree to indemnify and hold harmless Velmorias, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of our Services
• Your violation of any rights of third parties
• Your content or conduct

10. Confidentiality

Both parties agree to maintain confidentiality of:

• Proprietary business information
• Client lists and contact information
• Pricing and fee structures
• Booking details unless publicly released
• Personal information of models and clients
• Trade secrets and competitive information

Confidentiality obligations survive termination of the relationship.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Hong Kong Special Administrative Region, without regard to conflict of law provisions.

11.2 Negotiation and Mediation

In the event of disputes, parties agree to first attempt resolution through good faith negotiation. If negotiation fails, parties agree to pursue mediation before initiating legal proceedings.

11.3 Arbitration

Any disputes not resolved through negotiation or mediation shall be resolved through binding arbitration in Hong Kong under the Hong Kong International Arbitration Centre rules. The arbitration shall be conducted in English.

11.4 Jurisdiction

For matters not subject to arbitration, parties consent to the exclusive jurisdiction of courts located in Hong Kong.

12. Termination

12.1 Termination by Agency

We may terminate or suspend your access to Services immediately without notice if you:

• Violate these Terms or applicable laws
• Engage in fraudulent or harmful conduct
• Fail to pay fees when due
• Damage the Agency's reputation or business
• Provide false or misleading information

12.2 Termination by User

Models may terminate representation according to terms specified in individual representation agreements, typically requiring 30-90 days written notice.

Clients may terminate services subject to fulfillment of existing booking obligations and payment of all fees owed.

12.3 Effects of Termination

Upon termination:

• Access to Services will cease immediately
• Outstanding fees become immediately due
• Confidentiality obligations continue
• Limited licenses to use content may be revoked
• Certain provisions of these Terms survive termination

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon:

• Posting updated Terms on our Website
• Updating the "Last Updated" date
• Providing notice to registered users for material changes

Your continued use of Services after changes constitutes acceptance of modified Terms. We encourage regular review of these Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and Velmorias regarding use of our Services.

14.2 Severability

If any provision of these Terms is found unenforceable, remaining provisions continue in full force and effect.

14.3 Waiver

Failure to enforce any provision does not constitute waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

14.5 Force Majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, wars, pandemics, or government actions.
